Terms of Delivery

Specific terms regarding our services, subscriptions, payments and guarantees, supplementing the Terms of Use.

1. Definitions

In these Terms of Delivery, the following terms have the meanings set out below:

  • iCasting: IQ-Concepts B.V., with its statutory seat at Luttekestraat 68, 8011 LS Zwolle, the Netherlands, and registered with the Dutch Chamber of Commerce under number 73363766.
  • client: the natural person acting in the exercise of a profession or business, or the legal entity entering into an agreement with iCasting. If iCasting expressly also provides services to consumers, client shall also include the consumer, subject to applicable mandatory statutory provisions.
  • talent: the natural person who has posted a profile on the platform or responds to a casting call.
  • platform: the website, application and other digital environment managed by iCasting through which the services are offered.
  • services: the paid services offered by iCasting, including posting casting calls, matching, access to contact details, chat, profile management and related functionalities.
  • casting call: a call posted on the platform by a client to find talent.
  • subscription: an agreement providing ongoing access to iCasting's paid functionalities during a subscription year.
  • subscription year: a period of twelve months starting on the subscription start date or on the date on which a renewal takes effect.
  • balance: the administrative balance linked to the client's account, which may be used for payments to iCasting and, where available, payments to talent through iCasting.
  • talent payment: an amount that a client has iCasting process with the purpose of paying this amount, less iCasting's administration fee, to talent or making it available for payment to talent.
  • user content: all texts, images, videos, logos, company details, casting calls and other information posted or provided by a user on or via the platform.

2. Applicability and order of precedence

These Terms of Delivery apply to all offers, quotations, agreements and paid services provided by iCasting to the client. They supplement the Terms of Use, which also apply to the use of the platform.

If the client applies its own general terms and conditions, these do not apply unless iCasting has expressly accepted them in writing.

In the event of a conflict, the following order of precedence applies:

  1. a written agreement or specific quotation from iCasting;
  2. these Terms of Delivery;
  3. the Terms of Use;
  4. other information on the platform.

If a provision is void or annulled, the remaining provisions remain fully in force. The parties shall replace the relevant provision with a valid provision that approximates its purpose and intent as closely as possible.

3. Offers and formation of the agreement

Information about the services on the platform constitutes an invitation to enter into an agreement, unless expressly stated otherwise. Obvious errors or mistakes in prices, terms or descriptions do not bind iCasting.

At the client's request, iCasting may provide a written quotation. A quotation states its period of validity, the services offered and the corresponding price.

An agreement is formed as soon as the client:

  • accepts an offer from iCasting via the platform;
  • orders a subscription and the payment or payment instruction is successfully processed;
  • posts an individual casting call and pays the amount due; or
  • accepts a written quotation from iCasting.

Before placing an online order, the client will be shown the main characteristics of the services, the price, the subscription period, automatic renewal, the notice period and the applicable terms. After the agreement is formed, the client will receive a digital confirmation containing the relevant contractual information.

iCasting may refuse an application or decline to activate an account where there is a reasonable ground for doing so, such as fraud, misuse, security risks, payment risks or a violation of laws and regulations.

4. Account and user details

An account is required for certain parts of the platform. The client guarantees that the information provided during registration is accurate, complete and up to date.

An account is personal and may not be transferred to a third party without iCasting's prior permission. Within an organisation, the account may be used by authorised employees, provided that the client remains responsible for their conduct and for the security of the access details.

The client is responsible for keeping usernames, passwords and other login details confidential. Loss, theft or suspected unauthorised use must be reported to iCasting immediately via the contact page. Until the report is made, the client remains responsible for the use of the account, unless the client can demonstrate that they cannot reasonably be held responsible.

5. Our services

iCasting provides an online search engine and marketplace through which clients can post casting calls and talent can sign up or respond directly.

The services may include:

  • posting and managing casting calls;
  • searching for and matching with talent;
  • access to talent contact details, depending on the selected plan;
  • chat and contact functionalities;
  • profile management;
  • supporting functions within the client dashboard.

The functionalities available may vary depending on the plan, subscription, casting call and account type.

iCasting endeavours to make the search engine, matching functionality and other services operate carefully and as accurately as possible. However, iCasting does not guarantee that a casting call will result in applications, a suitable match or a successful booking.

Matching and recommendations

iCasting may use matching and recommendation functionalities to highlight casting calls and talent. This may take into account, among other things, the characteristics of a call, profile information, location, availability, experience, preferences and previous interactions. The outcome of a match is indicative and does not guarantee a response, selection or booking.

6. Fair use and prohibited use

The client must use the platform carefully, lawfully and reasonably. It is not permitted to use the platform:

  • for fraud, deception, intimidation, discrimination or other unlawful purposes;
  • in violation of these terms or the Terms of Use;
  • to distribute malware, spam or other harmful software;
  • to bypass or test security measures without permission;
  • to read, scrape or copy data automatically without prior permission;
  • in a way that overloads or disrupts the platform, iCasting's systems or third parties;
  • to collect, sell or transfer talent contact details for purposes other than a specific casting call.

In the event of structurally excessive, automated, improper or otherwise harmful use, iCasting may take appropriate measures. These may include a warning, restricting functionalities, temporary suspension or termination of access.

Where reasonable and possible, iCasting will inform the client of the reason for a measure. iCasting may take immediate action where necessary due to security, fraud, legal obligations or the prevention of damage.

7. Position of iCasting and agreement with talent

iCasting acts as an intermediary platform and is not a party to any agreement that may arise between a client and talent for the performance of a casting job.

Agreements regarding fees, location, schedule, employment or service contracts, taxes, permits, insurance and performance are made directly between the client and talent. Each party is responsible for the obligations arising from that agreement.

iCasting does not fully verify in advance whether profiles, portfolios, references, availability, qualifications or other information provided by users is accurate and complete. Clients and talent are responsible for checking information and making appropriate arrangements.

iCasting is not responsible for the acts or omissions of talent, the quality of talent's work or the performance of an agreement between a client and talent. If iCasting processes a payment to talent at the client's request, iCasting acts as an administrative and technical intermediary as described in Article 10.

8. Casting calls, user content and moderation

The client is responsible for the content, accuracy and currency of each casting call and all company information posted on the platform.

A casting call must relate to a legitimate activity of the client's own organisation or of an organisation for which the client is authorised to act. The call must not violate laws and regulations, public order, accepted standards of decency or the rights and interests of others.

The client must treat talent respectfully and may not impose requirements that are unlawful, discriminatory, misleading, unsafe or irrelevant to the casting call.

iCasting may edit, shorten, technically adapt, categorise, move, refuse or remove user content when:

  • the content is inaccurate, incomplete, misleading or outdated;
  • the content infringes third-party rights;
  • the content violates laws and regulations;
  • the content violates these terms or the Terms of Use;
  • the content is unsafe, discriminatory, intimidating or otherwise harmful;
  • this is necessary for the operation, security or integrity of the platform.

When iCasting removes, restricts or makes a casting call, profile or other user content inaccessible, or when iCasting suspends an account or functionality, iCasting will inform the user concerned of the main reasons for this decision insofar as legally required. This may be omitted or limited where necessary due to legal obligations, an ongoing investigation, security, fraud or the prevention of misuse.

Suspected illegal, misleading, unsafe or otherwise impermissible content may be reported via the contact page. A report should preferably include a description of the relevant content, its location on the platform and the reason why the content may not be permitted. iCasting will assess reports within a reasonable period and take appropriate measures where necessary.

If a user disagrees with an iCasting decision regarding the removal, restriction or inaccessibility of content or an account, they may submit a reasoned objection within a reasonable period via the contact page. iCasting will carefully assess the objection and inform the user of the outcome, unless legal or security reasons prevent this.

The client indemnifies iCasting against third-party claims related to casting calls, company information, other user content or payment instructions posted by the client, insofar as the cause thereof can be attributed to the client. This indemnity does not apply insofar as the claim results from intent or deliberate recklessness by iCasting or its senior management.

9. Subscriptions and cancellation

Clients may choose between paying per casting call and the annual iCasting Pro subscription.

An iCasting Pro subscription is entered into for a period of twelve months. The start and end dates of the subscription year are stated in the order confirmation, account or invoice.

After the subscription year ends, the subscription will automatically renew for a new subscription year unless the client cancels no later than one month before the end of the current subscription year.

Cancellation is possible via the contact page. A cancellation is received once iCasting has confirmed it in writing.

Cancellation prevents the next renewal. The client retains access to the paid functionalities until the end of the current subscription year, unless the agreement is terminated earlier under these terms.

Subscription fees already paid will not be refunded on a pro rata basis in the event of early cancellation, unless a statutory provision, written agreement, availability guarantee or usage guarantee provides otherwise.

10. Balance, payments and invoicing

To use iCasting's paid services, the client must first transfer an amount to the balance linked to the client's account. The balance is an administrative balance that the client may use for payments to iCasting and, where this functionality is available, payments to talent via iCasting.

Adding funds to the balance does not oblige iCasting to accept every subsequent order, payment or transaction. iCasting may refuse, suspend or reverse a payment where necessary due to fraud, a security risk, an incorrect transaction, an unavailable payment method, laws and regulations or an instruction from the payment provider.

The client may add funds to the balance in advance using a payment method offered by iCasting or its payment provider, such as iDEAL, credit card or PayPal. Available payment methods, minimum or maximum deposit amounts and any additional conditions may vary depending on the time, account type or payment provider.

A balance deposit is administratively linked to the client's account. The client is responsible for checking the deposited amount and immediately reporting a suspected error or unauthorised transaction via the contact page.

Payments for iCasting services

The client may use the balance to pay for iCasting's services, including:

  • the cost of posting an individual casting call;
  • any additional paid functionalities.

The iCasting Pro subscription is invoiced annually. The cost of an individual casting call is deducted from the balance when the client posts the call or at the time stated in the ordering environment.

For amounts deducted by iCasting for its own services, iCasting provides a digital invoice. The invoice is sent to the email address provided by the client. Where applicable, the invoice states the subscription price or the cost of the individual casting call.

All prices for iCasting's services are exclusive of VAT, unless expressly stated otherwise. Applicable VAT will be stated on the invoice insofar as iCasting is legally required to do so.

Payments to talent through iCasting

If the client chooses to have a payment to talent processed through iCasting, iCasting acts as an administrative and technical intermediary for that payment. The client provides the required payment instruction and ensures that the full amount of the talent payment is available in the balance.

iCasting processes the talent payment in accordance with the platform's payment procedure and the relevant payment provider. After processing, the amount, less iCasting's administration fee, is paid to talent or made available for payment to talent.

For this payment service, iCasting withholds 3% of the amount that would otherwise be paid to talent. The fee is calculated over the amount of the relevant talent payment, unless a different calculation method is expressly stated when the payment is initiated or processed.

The client does not pay the 3% administration fee separately. The administration fee is automatically withheld from the talent payment.

The client and talent are responsible for the administrative, tax and legal treatment of the talent payment between them. They must determine themselves whether an invoice, proof of payment or other administrative record is required. iCasting is not responsible for the tax treatment of the talent payment by the client or talent.

The client remains responsible for checking the name, payment details, amount and payment instructions before a talent payment is processed. iCasting may refuse, hold, delay or reverse a talent payment where necessary for verification, fraud or security measures, an error in the payment instruction, a dispute, a chargeback, an instruction from the payment provider or compliance with laws and regulations.

Balance and refunds

An unused balance remains linked to the client's account. The client may request a refund of an unused balance via the contact page, unless the balance relates to a payment that has already been executed or is irrevocable, an unfinished talent payment, an amount being investigated by the payment provider or an amount for which iCasting has reasonable grounds to suspect fraud or misuse.

When processing a refund request, iCasting may verify the client's identity, payment source and origin of the balance. Refunds will in principle be made via the same payment method used to deposit the balance, unless this is technically or legally impossible. iCasting may offset reasonable costs directly related to an incorrect or duplicate payment caused by the client, insofar as legally permitted.

A refund of an unused balance does not affect payment obligations already incurred by the client. iCasting may first offset amounts due, statutory interest and other payable obligations against the balance.

Payment default and invoice disputes

Because payments for the services are made in advance through the balance, iCasting may block the relevant functionality when insufficient funds are available. If an amount becomes payable after a technical correction, chargeback, reversal or other event, the client must top up this amount within the period specified by iCasting.

An invoice that the client believes to be incorrect must be disputed with reasons within 30 days of the invoice date via the contact page. An invoice dispute does not suspend the payment obligation unless iCasting confirms otherwise in writing. The undisputed part of the invoice remains payable.

If payment or a balance top-up is not made on time, iCasting may suspend access to paid functionalities. iCasting may also charge statutory interest and reasonable extrajudicial collection costs, insofar as legally permitted.

The available payment methods, processing time, payment limits and additional payment conditions may also be determined by the relevant payment provider. iCasting is not liable for delays or disruptions attributable solely to a payment provider or another third party.

11. Guarantees and availability

iCasting does not guarantee that a casting call will result in applications, a suitable match or a successful booking. The number and quality of applications depend, among other things, on the description of the call, the characteristics and availability of talent and market conditions.

iCasting endeavours to keep the paid functionalities included in the selected plan available during the subscription period. This availability guarantee does not apply during scheduled maintenance, in cases of force majeure, in cases of misuse or breach by the client, or when a functionality must temporarily be restricted for security or legal reasons.

If a paid core functionality is materially unavailable for more than seven consecutive days due to a cause attributable to iCasting, iCasting may reasonably extend the subscription period or credit a proportional part of the subscription fee.

Usage guarantee for iCasting Pro: if a client has published no more than one casting call during the first subscription year, the client may invoke this guarantee after receiving the renewal invoice and before payment via the contact page.

A casting call counts as soon as it has been visible to talent. A call also counts if it is later edited, paused or deleted. Unpublished drafts do not count.

After verification, iCasting will credit the renewal invoice in full and the iCasting Pro subscription may be used free of charge during the second subscription year. The guarantee applies once per subscription and per client, cannot be exchanged for money or general credit, and does not apply if more than one casting call was published during the first year, in cases of misuse or if the renewal invoice has already been paid.

12. Intellectual property and user content

All intellectual property rights in the platform, search and matching technology, database, software, design, formats, texts and other content of iCasting belong to IQ-Concepts B.V. or its licensors. Nothing in these terms transfers these rights to the client or to talent.

The client retains the rights to the user content posted on the platform. For the duration of the services, the client grants iCasting a non-exclusive, worldwide, royalty-free licence necessary for the performance of the services to host, store, technically adapt, publicly disclose, display, distribute and use this content for the purpose of offering, securing and improving the platform.

The client guarantees that they have all necessary rights, permissions and other legal grounds to post the user content and grant the licence referred to above. The client further guarantees that the user content does not infringe third-party rights and does not violate laws and regulations.

To the extent that user content depicts identifiable persons or contains personal data, the client warrants that they have the necessary consent or other legal basis and have complied with their information obligations.

The client indemnifies iCasting against third-party claims arising from the absence of required rights, permissions or legal grounds or from an infringement by the client's user content.

13. Confidentiality and use of talent data

The client treats confidential information from iCasting and talent as confidential and does not make it public or available to third parties, unless this is necessary for a specific casting call, legally required or authorised by the relevant party.

Talent data and contact details may only be used for legitimate purposes related to evaluating, discussing and carrying out a specific casting call.

The client is not permitted to:

  • collect talent contact details or profile information for a separate database;
  • sell, rent, trade or transfer talent data;
  • use talent data for unsolicited general or commercial communication;
  • copy or extract profile information systematically or automatically;
  • use talent data for a purpose other than that for which it was made available via iCasting.

The client processes personal data of talent and other users in accordance with applicable privacy laws. The client is solely responsible for the lawfulness of processing carried out outside iCasting's services.

14. Privacy and personal data

iCasting processes personal data in connection with account management, offering and securing the platform, posting and managing casting calls, matching, communication between users, payments and customer service. iCasting processes personal data in accordance with the General Data Protection Regulation and other applicable privacy laws.

More information about the categories of personal data, purposes and legal bases of processing, retention periods, recipients, transfers, security and data subject rights can be found in iCasting's privacy policy.

The client may process personal data of talent and other users only for legitimate purposes related to a specific casting call and its potential or actual performance. It is not permitted to sell this data, rent it out, collect it for a separate database, extract it automatically, copy it systematically or use it for unsolicited general or commercial communication.

From the moment the client receives or further uses talent's personal data for its own purposes, the client is solely responsible for the lawfulness of that processing, including having an appropriate legal basis, informing data subjects, applying appropriate security measures and respecting data subject requests.

The client provides iCasting only with personal data that it is authorised to provide and for which an appropriate legal basis exists. The client warrants that personal data, photos, videos and other materials supplied by the client may lawfully be used for the services.

For the processing of personal data on and via the platform, iCasting is an independent data controller within the meaning of the General Data Protection Regulation. iCasting determines the purposes and means of these processing activities and does not process personal data on behalf of or under the instructions of the client.

The client is also an independent data controller for the processing activities it carries out itself. The parties are therefore not processors or joint controllers in relation to one another, and they do not enter into a data processing agreement for the use of the platform.

Upon request and within a reasonable period, the parties shall provide each other with the information reasonably required to comply with their own obligations under privacy law, including information necessary to handle a data subject request or a request from a supervisory authority.

15. Notices, objections and platform transparency

Suspected illegal, misleading, unsafe or otherwise impermissible content may be reported via the contact page. A report should preferably include a description of the relevant content, its location on the platform and the reason why the content may not be permitted. iCasting will assess reports within a reasonable period and take appropriate measures where necessary.

16. Cookies and similar technologies

iCasting may use cookies and similar technologies for the functioning, securing, analysing and improving of the platform and, where permitted, for marketing purposes. More information on the cookies used, purposes, retention periods and user choices can be found in the applicable cookie policy.

17. Security and internet use

iCasting takes appropriate technical and organisational measures to secure the platform and the data processed via the platform. However, iCasting cannot guarantee that data transmission over the internet is completely free of risks or that every attack is prevented.

The client is responsible for keeping account details confidential, using appropriate security measures and immediately reporting suspected unauthorised use.

The client must not use the platform to distribute malware, bypass security measures, perform unauthorised scans, extract data automatically or carry out other actions that may compromise the security or availability of the platform or third parties.

18. Maintenance, changes and links to third parties

iCasting may temporarily take the platform out of service or restrict its use when necessary for maintenance, security, updates, improvements or adaptation to laws and regulations. iCasting will endeavour to announce scheduled maintenance in advance where reasonably possible and to perform it outside normal usage hours.

iCasting may modify the functionality of the platform and the composition of subscriptions to improve the services, adapt them to market developments or comply with legal obligations. A change may not materially undermine an already paid subscription period without iCasting informing the client in advance and, where reasonable, offering an appropriate alternative or termination option.

In the event of material changes affecting the core functionality of an ongoing subscription, iCasting will inform subscribers in advance via their account, by email or in another appropriate manner.

The platform may contain references to websites or services of third parties. iCasting has no control over these websites or services and is not responsible for their content, availability, security or operation.

19. Amendments to these Terms of Delivery

iCasting may amend these Terms of Delivery when necessary due to developments in the services, business operations, technology or laws and regulations.

Amended terms will be announced in advance via the platform, by email or in another appropriate manner and will apply from the announced date. Amendments do not apply retroactively to casting calls already completed.

If an amendment materially and adversely affects the client's rights or obligations, the client may terminate an ongoing subscription by the date the amendment takes effect, unless the amendment is necessary due to laws and regulations or solely involves an improvement of the services.

20. Liability

To the extent permitted by law, iCasting is not liable for indirect damage, consequential damage, lost turnover or profit, lost savings, reputational damage, business interruption, loss or corruption of data or claims arising from an agreement between a client and talent.

iCasting is also not liable for inaccurate or incomplete information provided by users, the acts or omissions of talent, the content or performance of an agreement between a client and talent, incorrect payment details or payment instructions provided by the client, disruptions at payment providers or other third parties, delays in payment to talent or unauthorised use of account details where this cannot be attributed to iCasting.

iCasting's responsibility for a payment to talent is limited to carefully processing the payment instruction provided by the client and carrying out the payment procedure offered via the platform and the relevant payment provider. iCasting does not guarantee that talent accepts a payment, that a payment is credited immediately or that a payment is not delayed or reversed by a payment provider, bank or other party involved.

To the extent that iCasting is liable despite the foregoing, iCasting's total liability under these Terms of Delivery is limited to the amount that the relevant client has actually paid to iCasting in the twelve months preceding the damage-causing event.

For an agreement that lasted less than twelve months, the maximum is the amount that the client actually paid for that agreement.

The limitation of liability does not apply insofar as the damage results from intent or deliberate recklessness by iCasting or its senior management, or insofar as a limitation is not permitted under mandatory law.

Claims and other rights against iCasting expire, regardless of their legal basis, one year after the client became aware or could reasonably have become aware of their existence, unless a sufficiently specified written claim has been submitted or legal proceedings have been initiated within that period.

21. Force majeure

iCasting is not obliged to comply with its obligations when prevented from doing so by force majeure. Force majeure includes, among other things, disruptions at hosting parties, payment providers or other engaged third parties, internet and telecom disruptions, power outages, cyber incidents that could not be prevented despite appropriate security measures, government measures, fire, natural disasters, war, strikes and other circumstances beyond iCasting's reasonable sphere of control.

Obligations are suspended for as long as the force majeure situation continues. During force majeure, iCasting is not obliged to compensate damage, unless mandatory law provides otherwise.

If a force majeure situation lasts longer than thirty days, either party may terminate the relevant services in writing for the part that has not yet been performed. For a prepaid subscription period, iCasting may reasonably credit a proportional part, unless the unavailability is attributable to the client.

22. Term, suspension and termination

A subscription runs as described in Article 9.

iCasting may suspend or terminate the agreement or access to parts of the platform with immediate effect in the event of a serious or repeated breach of these terms or the Terms of Use, including fraud, misuse, payment default, unauthorised access, infringement of third-party rights or the posting of misleading, discriminatory or unsafe casting calls.

In the event of a remediable breach, iCasting will, where reasonable, give the client a reasonable period to remedy the breach. Immediate action is permitted when necessary due to security, fraud, legal obligations or the prevention of damage.

iCasting may also terminate the agreement if the client becomes bankrupt, applies for a suspension of payments, is dissolved or ceases its business, insofar as legally permitted.

Termination does not affect payment obligations already incurred or provisions that by their nature remain in force after termination.

23. Transfer

iCasting may transfer its rights and obligations under these Terms of Delivery without the client's separate consent to an affiliated company or a party taking over the relevant business activities. iCasting will inform the client where reasonably possible.

A client may not transfer its rights and obligations under the agreement to a third party without iCasting's prior written consent, except where mandatory law provides otherwise.

24. Contact and complaints

For questions about invoices, subscriptions, cancellations or use of the services, the client may contact iCasting via the contact page.

Complaints should preferably be submitted as soon as possible, but no later than within a reasonable period after the client discovers the problem, with reasons. iCasting will try to handle complaints within a reasonable period and will inform the client if further investigation is required.

25. Applicable law and disputes

These Terms of Delivery and the agreements to which they apply are governed exclusively by Dutch law.

Disputes that cannot be resolved by mutual consultation shall be submitted to the competent court of the Overijssel District Court, without prejudice to the parties' right to submit a dispute to another competent court where mandatory law so requires.
